Please read these terms carefully before using Sooqnaa
1. Terms and Conditions of Use
These Terms and Conditions ("Terms", "Agreement") govern all use of Sooqnaa ("Sooqnaa", "Platform", "we", "us", "our"). By creating an account or using the Platform, you agree to these Terms. If you do not agree, do not use the Platform.
1. Acceptance of Terms
By using the Platform, you:
- Agree to these Terms in full
- Confirm you are at least 18 years old
- Agree to comply with all laws
- Understand Sooqnaa provides only online store-building and listing services
- Understand Sooqnaa is not a party to transactions between Merchant and Customer
2. About Sooqnaa
Sooqnaa is a software-as-a-service (SaaS) technology platform and online store-builder that provides tools enabling Merchants to:
- Create stores
- List products
- Display services
- Interact with Customers
Sooqnaa does not:
- Process payments
- Hold money
- Take a commission on sales
- Sell products
- Validate products
- Handle delivery
- Handle refunds
- Mediate disputes
Sooqnaa is a technology service provider only. It is not a marketplace operator, reseller, broker, payment institution, escrow agent, shipping company, or a party to any contract between a Merchant and a Customer. All financial transactions occur outside the Platform, directly between Merchant and Customer.
The Customer understands that any purchase, order, communication, payment, delivery, or return is conducted directly between them and the Merchant who owns the store. The Customer should review product information, the Merchant's policies, and contact details before completing any order. Sooqnaa does not guarantee product quality, accuracy of descriptions, availability, or the Merchant's fulfillment of delivery, returns, or refunds.
3. User Accounts
Sooqnaa requires all users, whether merchants creating and managing stores or consumers making purchases, to be at least eighteen (18) years old and to have full legal capacity to enter into contracts and commercial transactions.
- No independent use by minors: minors under the age of 18 may not create accounts, open stores, or use Platform services independently or under their own responsibility.
- Handling violating accounts: if we discover or receive notice that a minor has created an account or submitted personal data, Platform management reserves the full right to immediately close the account and delete all associated data from our databases without prior notice, unless limited retention is legally required or necessary for fraud prevention, security, dispute handling, or audit records.
- Parent or guardian reporting: a parent or guardian may request account review, account closure, or deletion of a minor's data by contacting us at support@sooqnaa.com with enough information to identify the relevant account.
- Disclaimer: the Platform disclaims legal responsibility for any unauthorized use, financial obligations, or purchases made by minors without the supervision or knowledge of their parents or guardians. The parent, guardian, or adult who enabled the minor to access payment tools or accounts bears full legal and financial responsibility for those actions.
3.1 Account Requirements
Users must provide:
- Full name
- Valid email address
- Password
3.2 Responsibility
Users are responsible for:
- Keeping credentials confidential
- All activity under their account
- Reporting unauthorized access
3.3 Prohibited Account Behavior
Users may NOT:
- Create fake accounts
- Impersonate others
- Create automated accounts
- Share accounts
- Mislead Sooqnaa or other Users
4. Merchant Accounts
The Merchant acknowledges that all products, images, descriptions, prices, quantities, sales, shipping and return policies, and any other content or information published in their store are published under their sole responsibility. Sooqnaa's role is limited to providing the technical tools that enable the Merchant to create, manage, and display their store content. Sooqnaa is not responsible for the accuracy, legality, completeness, or correctness of content published by the Merchant.
Merchants must:
- Provide accurate information
- Ensure products are legal
- Ensure store prices, descriptions, images, availability, and sales policies are accurate
- Handle payments directly
- Handle delivery directly
- Handle complaints directly
- Handle refunds directly
- Not knowingly sell age-restricted goods or services to minors, and comply with any laws or age-verification requirements that apply to listed products or services
Sooqnaa is not responsible for any Merchant activity.
Sooqnaa does not review or pre-approve every product, content item, description, or image published by Merchants. However, Sooqnaa reserves the right, without obligation, to review, remove, restrict, or suspend any content, product, or store upon discovering a violation, receiving a credible report, acting on a request from a competent authority, or when Sooqnaa believes the content may cause a legal, security, or user harm or platform harm.
5. Prohibited Items
Merchants may NOT list:
- Weapons or explosives
- Drugs or controlled substances
- Counterfeit or stolen goods
- Pornographic content
- Adult services
- Hazardous materials
- Content violating Syrian law
- Content violating international sanctions
- Copyright-infringing items
- Violent or extremist items
6. Payments
6.1 No Payments Are Handled by Sooqnaa
Sooqnaa:
- Does NOT process payments
- Does NOT accept money
- Does NOT take a commission on Merchant sales
- Does NOT issue refunds
- Does NOT mediate payment disputes
- Does NOT store customer card details or payment processor credentials
6.2 Payments Occur Externally
All payments occur directly between Merchant and Customer through:
- Cash on Delivery
- Bank Transfer
- Any mutually agreed external method
7. Refunds & Returns
Sooqnaa does not handle returns or refunds. All return/refund requests must be made directly to the Merchant. See the unified Return & Refund Policy section in this document.
8. User Conduct
Users must:
- Use the Platform lawfully
- Respect other Users
- Avoid harmful or abusive content
Users may not:
- Hack or disrupt the platform
- Scrape or mine data
- Upload harmful content
- Post illegal or offensive material
- Post fake or misleading reviews or ratings
- Use the Platform to send spam, scams, or fraudulent messages

9. Intellectual Property
- Sooqnaa owns all platform code, branding, design, and structure.
- Users retain ownership of their uploaded content.
- Users grant Sooqnaa a worldwide, non-exclusive, royalty-free license to host, store, display, and reproduce their content solely as needed to operate and provide the Platform.
- Unauthorized use of Sooqnaa trademarks is prohibited.
- If you believe content on the Platform infringes your intellectual property rights, you may send a notice to support@sooqnaa.com with enough details to identify the content and the right you claim, and a statement that your claim is made in good faith.
- Upon receiving a valid notice, we may remove or disable access to the allegedly infringing content and notify the user who posted it.
- We may suspend or terminate the accounts of users who are repeat infringers of intellectual property rights.
10. Service Availability
We do not guarantee:
- Continuous access
- Error-free service
- Zero downtime
The Platform may be unavailable during:
- Maintenance
- Outages
- Server issues
11. Termination
Sooqnaa may suspend or terminate any account for:
- Fraud
- Legal violations
- Misuse of the platform
- Sale of prohibited items
- Abuse of customers
Users may delete accounts at any time.
12. Effects of Suspension or Termination
- Suspension or termination may result in loss of access to the dashboard, store, or some account data.
- Termination does not affect obligations or liabilities that arose before the termination date.
- We may retain some records as needed for legal compliance, security, fraud prevention, or dispute handling.
13. Disclaimer of Warranties and Limitation of Liability
To the maximum extent permitted by applicable law:
- SOOQNAA IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
- WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.
- WE ARE NOT LIABLE FOR:
- Merchant actions
- Customer actions
- Payments
- Deliveries
- Refunds
- Product defects
- Losses or damages
Your sole and exclusive remedy for dissatisfaction with the Platform is to stop using it. To the maximum extent permitted by applicable law, Sooqnaa is not liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business, even if advised of the possibility of such damages. Because the Platform is currently provided free of charge, Sooqnaa's total aggregate liability for any and all claims arising out of or relating to the Platform or these Terms shall not exceed the greater of (a) the total fees, if any, you paid to Sooqnaa in the three (3) months preceding the event giving rise to the claim, or (b) fifty United States dollars (USD 50).
14. Indemnification
You agree to indemnify Sooqnaa from all claims arising from:
- Your content
- Your products
- Your payments
- Your actions
- Your violations
15. Third-Party Services and Links
- The Platform or stores created through it may contain links, tools, or services provided by third parties.
- Your use of any third-party service or link is governed by that third party's terms and policies.
- Sooqnaa is not responsible for third-party content, practices, security, or privacy policies.
16. Reporting and Enforcement
- Any user or affected party may report a violating store, product, or content by email at support@sooqnaa.com, providing sufficient details such as the store or product link, a description of the violation, and any supporting documents or images if available.
- Upon receiving a report, Sooqnaa may review it and take appropriate action at its discretion, including contacting the Merchant, requesting content changes, removing a product, restricting access, temporarily suspending the store, or terminating the account in cases of serious or repeated violations.
- Failure to remove specific content immediately does not constitute acceptance or approval of that content by Sooqnaa, and Sooqnaa is not responsible for Merchant-published content before it becomes actually aware of the violation or before it is able to take appropriate action.
17. Notices and Electronic Communications
- Sooqnaa may send operational, security, or administrative notices by email, in-platform messages, or any available communication method.
- Notices sent to the contact information registered in your account are considered received by you.
- You must keep your contact information accurate and up to date.
18. Changes to Terms and Policies
- Sooqnaa may update these terms or policies from time to time to reflect legal, operational, security, or technical changes.
- The updated version will be posted on this page with the last updated date revised when needed.
- Your continued use of the Platform after updates are posted means you accept the updated version.
19. Fees and Paid Plans
- The Platform is currently provided to Merchants free of charge.
- Sooqnaa reserves the right to introduce paid plans, subscription fees, or charges for certain features in the future.
- If we introduce fees, we will provide prior notice, and you will not be charged for a paid feature unless you choose to subscribe to it.
- Sooqnaa does not take any commission on Merchant sales and does not process payments between Merchants and Customers.
20. Taxes and Duties
- Merchants are solely responsible for determining, collecting, reporting, and paying all taxes, duties, customs charges, and government fees that apply to their sales and business activity.
- Sooqnaa does not calculate, collect, withhold, or remit any taxes on behalf of Merchants or Customers, and is not the seller or merchant of record for any transaction.
- Each Merchant is solely responsible for its own commercial registration and licensing obligations where these are required by applicable law.
21. Sanctions, Export Controls and Trade Compliance
You are responsible for complying with all applicable trade, sanctions, and export-control laws. By using the Platform, you represent, warrant, and agree that:
- You are not listed on, owned or controlled by, or acting on behalf of any party subject to any applicable sanctions or restricted-party list.
- You will not use the Platform to offer, sell, buy, ship, finance, or facilitate any goods, services, or transactions in violation of applicable sanctions or export-control laws.
- You will not use the Platform to deal with individuals, entities, or regions that are the target of comprehensive sanctions in a manner prohibited by applicable law.
- Sanctions and trade rules affecting Syria and other regions may change over time, and it is your responsibility to ensure that your own activity remains lawful.
- Sooqnaa relies on third-party infrastructure and service providers (such as hosting, communications, and analytics) that may apply their own restrictions, and Sooqnaa does not guarantee that the Platform or any third-party service will be available in every location.
- Sooqnaa may screen accounts and activity and may suspend, restrict, or terminate access where it believes, in its sole discretion, that continued provision of the service may create legal or compliance risk, without liability to you.
Nothing in these Terms requires Sooqnaa to act in any way that would violate applicable sanctions or export-control laws.
22. Force Majeure
Sooqnaa is not liable for any delay or failure to perform, or for any interruption, suspension, or unavailability of the Platform, resulting from events beyond its reasonable control. These include, without limitation, war, armed conflict, civil unrest, acts of government or regulators, changes in law or sanctions, currency restrictions or devaluation, power or internet outages, telecommunications or network failures, failures of hosting or third-party service providers, natural disasters, fire, epidemics or pandemics, and any other force majeure event.
23. Assignment
You may not assign or transfer these Terms, or any rights or obligations under them, without Sooqnaa's prior written consent. Sooqnaa may assign or transfer these Terms, in whole or in part, including in connection with a merger, acquisition, reorganization, or sale of assets, without restriction. These Terms bind and benefit the parties and their permitted successors and assigns.
24. Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a competent court or authority, that provision will be limited or removed to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
25. No Waiver
Sooqnaa's failure or delay in enforcing any provision of these Terms is not a waiver of its right to enforce that or any other provision later. Any waiver must be in writing to be effective, and a waiver on one occasion does not waive any future right.
26. Survival
Provisions that by their nature should survive termination will survive, including, without limitation, those relating to intellectual property, disclaimers, limitation of liability, indemnification, taxes, sanctions and trade compliance, governing law, dispute resolution, and any obligations that accrued before termination.
27. Entire Agreement
These Terms, together with the Privacy Policy, Acceptable Use Policy, Merchant Agreement, and Return & Refund Policy contained in this document, constitute the entire agreement between you and Sooqnaa regarding the Platform, and supersede all prior or contemporaneous agreements, understandings, or communications, whether written or oral, on that subject.
28. Governing Law and Jurisdiction
These Terms, and any dispute or claim arising out of or in connection with them, the Platform, or their subject matter (including non-contractual disputes or claims), are governed by and construed in accordance with the laws of the Syrian Arab Republic, without regard to conflict-of-law rules. Subject to the Dispute Resolution section below, the competent courts of Damascus, Syria, have exclusive jurisdiction, and you consent to their personal jurisdiction. This does not deprive a consumer of any mandatory protection granted by the laws of the country in which they reside where such protection applies and cannot be excluded by agreement.
29. Dispute Resolution
Before starting any formal proceeding, you agree to attempt to resolve the dispute informally first:
- Informal resolution: contact us at support@sooqnaa.com with a description of the issue. The parties will attempt in good faith to resolve the dispute for at least thirty (30) days before pursuing formal action.
- Forum: if the dispute is not resolved, it will be submitted to the competent courts of Damascus, Syria, in accordance with the Governing Law and Jurisdiction section above.
- No class actions: to the maximum extent permitted by applicable law, disputes must be brought on an individual basis only, and not as a plaintiff or class member in any class, collective, or representative action.
- Time limit: to the extent permitted by applicable law, any claim relating to the Platform must be brought within one (1) year after the event giving rise to it, or it is permanently barred.
30. Controlling Language
These Terms are provided in Arabic and English. The Arabic version is the official and controlling version, and in the event of any conflict or inconsistency between the Arabic and English versions, the Arabic version prevails.

This Privacy Policy explains how Sooqnaa collects and uses data.

We do not sell your data.
3. Legal or Operational Basis for Processing
We process data only when we have a legitimate reason or appropriate operational need, such as:
- Performing the user relationship and providing Platform services
- Protecting the Platform and users and preventing fraud or abuse
- Complying with legal obligations or competent authority requests when applicable
- Improving the service and analyzing performance in a proportionate way
- Obtaining your consent when consent is required, such as optional location data or certain marketing communications
4. What We Do NOT Collect
Because Sooqnaa does not operate an internal payment gateway or process card payments:
- We do not collect or store customer credit card numbers, CVV codes, or card payment credentials.
- We do not process bank account payments or act as a payment processor, escrow agent, or money holder.
- We do not receive or control transaction funds between Merchants and Customers.
- We may store payment method instructions added by Merchants, such as bank transfer details, wallet phone numbers, QR codes, or cash-on-delivery settings, so they can be shown in the Merchant's store.
- We may store order payment status, selected payment method, and uploaded transfer receipts or payment proof where these are submitted through the Platform.
5. Data Sharing
We may share data:
- With service providers (hosting, analytics)
- Between the merchant and customer as needed to manage and communicate about orders
- When required by law
- If the platform is sold or transferred
6. Data Hosting and Transfers
- Data may be hosted or processed by service providers in countries different from your country of residence.
- When we use external service providers, we seek to use appropriate arrangements to protect data according to the nature of the service and applicable legal requirements.
- We do not transfer data to third parties except for the purposes described in this Policy or when required by law.
7. Cookies
We use cookies and similar technologies to operate the Platform, keep you signed in, remember your preferences, and measure performance through analytics. You can control non-essential cookies through your browser settings or any cookie controls we provide; some essential cookies are required for the Platform to function.
8. Data Retention
We retain data as long as necessary for:
- Account operation
- Legal requirements
- Security
Specific retention periods depend on the purpose of processing and applicable legal requirements; when data is no longer needed we delete or anonymize it. Users may request deletion subject to legal limits.
9. Children's and Minors' Data
Sooqnaa is not intended for or directed to children or minors under the age of 18, and they are not permitted to create accounts, open stores, or use Platform services independently.
- If we learn or receive notice that a minor has created an account or provided personal data, we may close the account and delete the associated data from our databases without prior notice, unless limited retention is legally required or necessary for fraud prevention, security, dispute handling, or audit records.
- If you are a parent or guardian and believe that a minor has provided us with personal data, you may request account review, account closure, or deletion of the minor's data by contacting us at support@sooqnaa.com with enough information to identify the relevant account.
- We do not knowingly use cookies or analytics tools to target children or minors, and we do not sell their data or use it for child-directed advertising.
10. Security
Sooqnaa adopts reasonable organizational and technical measures to protect the Platform and user data, including secure SSL connections, need-based access restrictions to systems and data, secure password protection, monitoring of unauthorized access attempts, backups when needed, and remediation of security vulnerabilities according to their severity. Sooqnaa also periodically reviews and improves its information security practices in line with the nature of the Platform and operational and technical risks.
We cannot guarantee 100% security for any system or internet data transmission. If a material security incident occurs that may affect user data or Platform integrity, Sooqnaa will assess the incident and take appropriate steps to limit its impact, and may contact affected users or competent authorities when required or appropriate under applicable laws and regulations.
11. Marketing Communications
- We may send marketing or informational messages if permitted by law or if you have given consent.
- You may opt out of marketing messages where that option is available.
- We may continue to send operational, security, or administrative messages even if you opt out of marketing messages.
12. Public Store Content
- Some information published by merchants, such as store names, products, descriptions, images, and business contact details, may be publicly visible.
- Merchants must not publish personal data about others unless they have an appropriate legal basis or permission.
- Some public information may remain temporarily visible in search results or cached copies after it is changed or deleted from the Platform.
13. User Rights
You may request:
- Data access
- Data correction
- Data deletion
- Restriction of processing
- Withdrawal of consent
- Objection to certain processing or a copy of your data where legally applicable

14. Data Controller and Processor Roles
- For account and Platform data that Sooqnaa collects to provide the service, Sooqnaa acts as the data controller.
- For personal data that Merchants collect from their own Customers through their stores (such as order and contact details), the Merchant is the controller of that data and Sooqnaa acts as a processor that handles it on the Merchant's behalf and under its instructions.
- Merchants are responsible for having a lawful basis to collect and use their Customers' data, for providing their own privacy notice where required, and for responding to their Customers' data requests.
- The Merchant must not collect, use, or share Customer data except for legitimate purposes related to fulfilling orders, customer service, legal obligations, or other purposes for which they have an appropriate legal basis. The Merchant must not upload or enter unnecessary or sensitive personal data unless they have a clear legal justification and appropriate consent where required.
- Sooqnaa may use sub-processors (such as hosting and analytics providers) to deliver the service and requires them to protect data appropriately.
15. Complaints
If you have a concern about how your data is handled, please contact us first at support@sooqnaa.com so we can try to resolve it. Where applicable law gives you the right to lodge a complaint with a competent data-protection or supervisory authority, you may also do so.
16. Privacy Contact
For privacy or data protection questions or requests, you may contact us at support@sooqnaa.com. We may request additional information to verify your identity or identify the account related to the request before fulfilling certain requests.
3. Acceptable Use Policy (AUP)
You may NOT use Sooqnaa to:
- Sell illegal items
- Upload harmful or hateful content
- Spread malware
- Harass others
- Misrepresent products
- Create fake accounts
- Manipulate reviews
- Interfere with the Platform
- Collect or use user or customer data outside the legitimate purpose of the order or service
- Sell age-restricted or licensed goods without complying with applicable laws or required verification
- Use the Platform in violation of applicable sanctions, export-control, or trade laws
Merchants must provide accurate information and legal products.
Violations may result in account suspension.
4. Merchant Agreement
By creating a Merchant account, you agree to:
- Sell only legal products
- Provide accurate listings
- Handle payments outside the Platform
- Handle delivery independently
- Handle refunds directly
- Provide customer support
- Comply with Syrian and international laws
- Not sell prohibited items
- Protect customer data and use it only to fulfill orders, provide customer service, and meet related legal obligations
- Be solely responsible for all taxes, duties, and customs charges arising from their sales
- Act as the controller of their customers' personal data, comply with applicable data-protection rules, and use Sooqnaa only as a processor for that data
Sooqnaa may suspend any Merchant that violates policies.
The Merchant alone is responsible for obtaining any licenses, approvals, or regulatory permits required to conduct their business or sell their products or services, including any requirements related to restricted or specially regulated products. Making store tools available through Sooqnaa does not constitute approval, endorsement, or licensing of the Merchant's activity or products.
Sooqnaa is not responsible for:
- Merchant transactions
- Customer disputes
- Lost shipments
- Payment problems
- Product quality
5. Return & Refund Policy (Merchant Template)
This section is a merchant-facing template and general guideline only. It is not a refund promise from Sooqnaa. Each Merchant is responsible for setting, displaying, and applying the return and refund policy for their own store, and all return or refund requests must be handled directly between the Customer and the Merchant.
1. Customer Must Contact Merchant
All return and refund requests must be made directly to the Merchant that sold the product or service. Sooqnaa does not approve, reject, process, or pay refunds.
2. Eligibility
Merchants may accept returns if:
- Item is defective
- Wrong item delivered
- Item not as described
3. Return Period
Merchants may specify:
- 7 days
- 14 days
- No returns
4. Condition
Returned items must be unused and in original packaging.
5. Refund Methods
Refunds may be issued via:
- Cash
- Bank transfer
- Replacement
Sooqnaa does not issue refunds.
6. Non-Returnable Items
Examples:
- Cosmetics
- Perishables
- Digital products
- Used items
7. Shipping Costs
Merchant must specify whether:
- Customer pays
- Merchant pays
- Split cost
8. Final Decision
Subject to applicable law and the Merchant's own published policy, the Merchant has the final decision on refunds and returns. Sooqnaa may provide technical tools for communication or order management, but it is not responsible for the Merchant's decision or for paying any refund.
